Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you and Qollum (collectively, "we," "us," or "our") governing your access to and use of our websites, mobile apps, events, and communications (the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1) Who We Are & Eligibility

  • Contracting entity. If you reside in the U.S. or Canada, you are contracting with Qollum, a [State] corporation with its principal place of business in California. If you reside elsewhere, you are contracting with Qollum.
  • Age. You must be at least 13 years old to use the Service (or the minimum age of consent in your country). Some regions require a higher minimum age; where applicable, you must meet it. The Service is not directed to children.
  • Authority. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2) Changes to These Terms

We may update these Terms from time to time. The most current version will be posted on the Service with the "Last Updated" date. If a change is material, we'll provide reasonable notice (e.g., by email or in-product notice) before it becomes effective. Your continued use of the Service after changes become effective constitutes acceptance.

3) Key Definitions

  • Content: All text, images, photos, audio, video, ratings, reviews, check-ins, messages, and other data.
  • Your Content: Content you submit or make available through the Service.
  • User Content: Content provided by users (including you).
  • Qollum Content: Content we create or make available in connection with the Service.
  • Service Content: All Content available in connection with the Service, including Your Content, User Content, Qollum Content, and third-party content.

4) Using the Service

  • Permission. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service subject to these Terms.
  • Risk. You may be exposed to Content that is inaccurate, offensive, indecent, misleading, incomplete, or otherwise objectionable. Use the Service at your own risk.
  • Availability. The Service may be modified, suspended, or discontinued at any time without notice or liability.
  • Accounts. Certain features require an account. You are responsible for safeguarding your credentials and for all activity under your account. We may close or suspend your account at any time for any or no reason, subject to applicable law.

5) Communications

By using the Service, you consent to receive communications from us and other users/businesses (e.g., emails, push notifications, texts, phone calls). You can adjust certain communications in your account settings. Carrier charges may apply. We may monitor and record communications for legal, quality, and training purposes as permitted by law.

6) Your Content & License to Us

  • Responsibility. You alone are responsible for Your Content. You represent and warrant you own or have all necessary rights to submit it and to grant the licenses below. You assume all risks associated with Your Content, including reliance by others and disclosure of personal information.
  • License to Qollum. You grant us a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, transferable, and sublicensable license to use Your Content for any lawful purpose in connection with operating, improving, promoting, and providing the Service (including to host, store, reproduce, modify, adapt, publish, translate, distribute, publicly perform and display, create derivative works from, commercialize, and otherwise exploit it in all media now known or later developed).
  • License to Others. You grant other users and our partners a right to access and use Your Content through the Service, as enabled by the Service's features.
  • Moral rights. To the extent permitted by law, you waive any moral rights (e.g., attribution, integrity) you may have in Your Content with respect to uses consistent with these Terms.
  • No confidentiality. Except as required by law or our Privacy Policy, we have no obligation to keep Your Content confidential.

7) Halal-Related Disclaimers & Community Standards

  • No certification or guarantee. We do not certify or guarantee halal status, compliance, or certification of any business, product, menu item, event, or service listed on the Service. Listings may include self-reported data by businesses or community input that could be incomplete or outdated. Always verify directly with the business and with recognized halal certifiers as appropriate.
  • Culturally respectful use. Do not post content that is hateful, harassing, defamatory, pornographic, incites violence, or targets protected classes, faiths, or communities. We may remove or restrict such content at our discretion.
  • Health & safety. We are not responsible for adverse reactions, allergies, dietary restrictions, or food safety issues. Verify ingredients, preparation methods, and certifications directly with the business.

8) Content Moderation; AI/ML Features

We may screen, remove, edit, down-rank, or reinstate User Content at our sole discretion for any reason or no reason, with or without notice (e.g., suspected fake reviews, harassment, spam, or policy violations). We may use machine learning and other AI technologies to provide, personalize, rank, summarize, translate, or otherwise transform Content and to operate moderation systems. These technologies may affect how Content appears. We do not guarantee that moderation will detect or remove all problematic content.

9) Intellectual Property; Restrictions

We and our licensors own the Service and all Qollum Content (including interfaces, graphics, code, design, compilation, ratings aggregates, and other elements). Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, lease, reverse engineer (except to the limited extent permitted by law with prior written notice), scrape, mine, or otherwise exploit the Service or Service Content. All rights not expressly granted are reserved.

10) Prohibited Conduct

You agree not to, and not to assist others to:

  • Violate these Terms or any posted policies (e.g., community, review, or event guidelines).
  • Post fake, incentivized, compensated, or defamatory reviews; trade reviews; or manipulate ratings or search results.
  • Infringe any third-party right (e.g., copyright, trademark, privacy, publicity).
  • Harass, threaten, or discriminate against others.
  • Scrape, crawl, or use bots or automated means to access the Service or Service Content, except as expressly permitted in a robots.txt file or with our written consent.
  • Introduce malware, attempt to gain unauthorized access, or interfere with the Service's operation.
  • Solicit personal information from minors or submit pornography or sexual content involving minors.
  • Use the Service for commercial purposes except as expressly permitted (e.g., via a Business Account).

11) Third-Party Services

The Service may host or link to third-party content, tools, and services (e.g., bookings, payments, delivery, maps). We do not control or endorse third-party services and are not responsible for their availability, accuracy, or terms. Your use is at your own risk and may be governed by additional terms and privacy policies.

12) Infringement Policy

If you believe Content infringes your copyrights or trademarks, follow our Infringement Policy instructions at qollum.com. We may forward your notice to the user who posted the Content.

13) Disclaimers; Limitation of Liability

THE SERVICE AND ALL SERVICE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE."

To the maximum extent permitted by law, we disclaim all warranties (express or implied), including merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not guarantee the quality, safety, legality, halal status, availability, or reliability of any business, product, service, or Content.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We will not be liable for any indirect, incidental, special, punitive, exemplary, reliance, or consequential damages; loss of profits, revenue, data, or goodwill; business interruption; or reputational harm.
  • Our total liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (i) $100 or (ii) the amount you paid to us for the Service in the 12 months preceding the claim.

Some jurisdictions do not allow certain limitations; some rights may not be lawfully limited.

Your sole remedy for dissatisfaction with the Service is to stop using it and, where applicable, close your account.

14) Dispute Resolution; Arbitration; Class-Action Waiver

PLEASE READ CAREFULLY.

You and Qollum agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, "Disputes") through binding individual arbitration, except as set out below.

  • Governing law & venue. California law governs these Terms, without regard to conflict-of-laws principles. For claims that may be brought in court (e.g., small claims or IP claims), the exclusive venue and jurisdiction are the state and federal courts in County, California, and you consent to personal jurisdiction there.
  • Arbitration. The Federal Arbitration Act governs the interpretation and enforcement of this section. Arbitration will be administered by National Arbitration and Mediation (NAM) under its applicable rules. The arbitrator has exclusive authority to resolve threshold issues relating to arbitration (scope, enforceability, formation) and may award individual relief permitted by law. You may choose to appear by phone/video or based on written submissions.
  • Class/representative actions. Arbitration must proceed on an individual basis. No class, collective, or representative proceedings are permitted.
  • Carve-outs. Either party may bring (i) individual claims in small claims court; (ii) actions to protect IP rights; or (iii) claims arising from acts in furtherance of free speech or petition rights in court.
  • One-year filing deadline. You must bring any claim within one (1) year after it accrues, or it is permanently barred (to the extent permitted by law).

If you reside outside the U.S./Canada, mandatory consumer protections in your country of residence remain unaffected, and local courts may have jurisdiction as required by law.

15) Indemnity

You agree to indemnify, defend, and hold harmless Qollum, its affiliates, and their respective officers, directors, employees, agents, and contractors from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) Your Content; (ii) your use of the Service; (iii) your violation of these Terms; or (iv) your violation of any law or third-party rights.

16) Termination

You may stop using the Service at any time and request account closure at Qollum.com. We may suspend or terminate your access, remove Content, or deactivate your account at any time for any or no reason, subject to applicable law. Sections intended to survive (including 6–15 and 17–18) will survive termination.

17) General

These Terms constitute the entire agreement between you and us regarding the Service and supersede prior agreements. If any provision is found unenforceable, it will be modified to reflect the parties' intent or severed to the minimum extent necessary, and the remainder will continue in effect. We may assign these Terms; you may not assign them without our prior written consent. No waiver is effective unless in writing. Section titles are for convenience only.
